Joseph M. Molina, MD, is President and
Chief Executive Officer of Molina
Healthcare, Inc. In 1980, his father, C.
David Molina, MD, founded Molina Healthcare
to address the special needs of low-income
patients. After his father's death in 1996,
Dr. Molina was elected Chairman of the Board
and assumed the chief executive role at
Molina Healthcare.Over the last 25 years, Dr. Molina has
served in various capacities at Molina
Healthcare, Inc. From 1991 to 1994, he
served as the Medical Director working with
providers and clinics while overseeing
medical and risk management issues. In 1994,
he became Vice President responsible for
provider contracting, member services,
market and quality assurance. |

| In 2002, Dr. Molina received the Ernst &
Young Greater Los Angeles Entrepreneur of
the Year Award and was named as an honoree
of the Greater Long Beach National
Conference for Community and Justice.
Additionally in 2002, Dr. Molina was
inducted into the Long Beach Community
College Hall of Fame. Recently, Dr. Molina
was featured in Time magazine as one of the
25 most influential Hispanics in America in
2005. |

Dr. Molina is a member of numerous
organizations,
including the American College of
Physicians, the California Medical
Association, and the board for the Aquarium
of the Pacific,
as well as
Homeboy Industries. Dr.
Molina is also a board member of the
Association of Health Insurance Plans and
serves as a national trustee of the Boys and
Girls Clubs of America. |

| Dr. Molina received his degree from the
University of Southern California and
performed his internship and residency at
Johns Hopkins Hospital in Maryland. |

C. Molina, J.D. |
John C. Molina, JD has been employed by
Molina Healthcare, Inc. since its inception
and currently serves as Chief Financial
Officer. As CFO, Mr. Molina oversees all
financial activity including corporate
finance, investor relations, accounting,
treasury and actuarial functions. In
addition, he is responsible for executing
Molina's expansion efforts by overseeing the
company's business development, mergers, and
acquisition program, during which time the
Company has grown to have health plans in
eight states, serving over one million
Medicaid beneficiaries. |

| Mr. Molina is a Co-Chair of the Trustees
of the Aquarium of the Pacific in Long
Beach, California, a member of the Board of
Directors of the YMCA of Metropolitan Los
Angeles, and a member of the Board of
Directors of the Southeast Division of the
American Cancer Society of California. |

| Mr. Molina received his B.A. in Economics
from California State University, Long Beach
where he was elected to the Phi Beta Kappa honor
society and a Juris Doctorate degree from the
University Of Southern California School of Law
in Los Angeles. |

L. Andrews, Esq. |
Mark L. Andrews is Chief Legal Officer
and Corporate Secretary. He is responsible
for direction of all legal, legislative,
compliance and regulatory activities for
Molina Healthcare. Mr. Andrews joined Molina
Healthcare in 1998 and has over 20 years
experience in the healthcare field.Before joining Molina Healthcare, Mr.
Andrews was a partner in the Sacramento law
firm of Wilke, Fleury, Hoffelt, Gould &
Birney where he represented a wide range of
healthcare stakeholders, including
providers, professional associations,
medical groups, hospitals, HMO's, and
governmental agencies responsible for
healthcare oversight. |

| Mr. Andrews earned his Juris Doctorate
degree from Hastings College of Law and
performed his undergraduate study at the
University of California at Berkeley. |

Bayer, BS, MPH, JD |
Terry P. Bayer is Chief Operating
Officer for Molina Healthcare, Inc. In this
role, Ms. Bayer is responsible for
operational oversight of the Company's eight
state health plans, as well as human
resources and information systems. Ms. Bayer
has 25 years of healthcare management
experience, including staff model clinic
administration, provider contracting,
managed care operations, disease management,
and home care. Prior to joining Molina, her
professional experience included operations
responsibilities at FHP and multi-state
responsibility as Regional Vice-President at
both Lincoln National, Maxicare, and
Partners National Health Plan, a joint
venture of Aetna Life Insurance Company and
VHA. She has also served as Executive Vice
President of Managed Care at Matria
Healthcare, President and Chief Operating
Officer of Praxis Clinical Services, and as
Western Division President of AccentCare. |

| Ms. Bayer holds a Juris Doctorate degree
from Stanford University, a Master's degree
in Public Health from the University of
California at Berkeley, and a Bachelor's
degree in Communication from Northwestern
University. |

(Molina) Bernadett,
MD |
Dr. Martha Bernadett is Executive Vice
President of Research and Development at
Molina Healthcare, Inc. Previously, she
worked as a Family Physician in the staff
model medical practice of Molina Healthcare
of California from 1992 to 1994. From 1994
to 1996, she served as Associate Medical
Director and later became Vice President
responsible for provider contracting and
relations, network development, provider
information, process improvement,
credentialing and facility site review. In
1999, Dr. Bernadett served as Vice President
and General Manager of the staff model
operations of Molina Healthcare of
California. |

| Dr. Bernadett currently serves on the
California Health Manpower Policy Commission
and is the Principal Investigator of a grant
from The Robert Wood Johnson Foundation to
improve healthcare access for Latinos. Dr.
Bernadett received her Medical degree from
the University of California, Irvine and her
Masters of Business Administration from
Pepperdine University. |
